Terms of Service
The agreement between you and NoticeDesk when you use the service. It is written in plain English, and it is the binding contract, so please read it.

1. Who we are & these terms
NoticeDesk is operated by NoticeDesk Ltd, a company incorporated in England & Wales (company number 17383909; registered office 64 Liberty Lane, West Bromwich, England, B70 0FL). By creating an account or using NoticeDesk you agree to these Terms of Service, our Privacy Notice and our Refund & Cancellation Policy. If you're using NoticeDesk on behalf of an organisation, you confirm you're authorised to accept these terms for it.
2. Who can use it
NoticeDesk is a business tool. You must be at least 18 and using it for business or professional purposes. You're responsible for keeping your sign-in secure and for activity under your account, and for the people you invite into your workspace. NoticeDesk is intended for UK-established businesses; we don't currently offer or market the service to customers established in the EU or EEA.
3. What NoticeDesk does, and what it doesn't
NoticeDesk uses AI to extract data from the invoices you upload, runs compliance checks against published HMRC rules, and produces exports for accounting software. Two things matter here:
- You must review extracted data before you rely on it. AI extraction is not perfect. You are responsible for checking the output before importing it into any accounting system or submitting anything to HMRC.
- NoticeDesk is not tax or accounting advice. Our compliance checks flag invoices against published rules and show our evidence; they are not a determination of how HMRC will treat any claim, and they are not a substitute for professional advice.
4. Acceptable use
When using NoticeDesk, you agree that you will not:
- upload or process data that you don't have the right to process, or that infringes anyone's rights or breaks the law;
- attempt to break, overload, probe, or reverse-engineer the service, or circumvent its security, rate limits or usage limits;
- use the service to build a competing product, or scrape or bulk-extract from it;
- resell, sublicense, or share your access outside your own organisation, except by inviting members to your workspace as intended;
- use NoticeDesk for anything unlawful, abusive, or harmful.
We may suspend or terminate accounts that breach this section, that put the service or other users at risk, or that we're required to act on by law. Where practical we'll warn you first, but we don't have to if the issue is serious.
5. Plans, credits & billing
Paid plans are subscriptions billed through Paddle, our Merchant of Record. Extraction is charged in credits (1 credit covers a document of up to 10 pages, then 1 further credit per additional 10 pages). Plans include a monthly credit allowance; optional top-up packs add credits that roll over for 90 days. Prices are shown on the pricing page (exclusive of VAT, which Paddle adds at checkout). Trials, cancellation and refunds are covered in our Refund & Cancellation Policy, which forms part of these terms.
Auto top-up (optional, off by default). You may switch on auto top-up under Plan & billing. If you do, and your credit balance falls to the trigger level you set, we will charge your saved payment method for one top-up pack at the price shown on the pricing page, without asking again at the time. You choose the trigger level and a maximum number of automatic top-ups per calendar month, and we will not exceed that maximum. We email a receipt to the workspace owner for every automatic charge, and Paddle sends its own receipt. You can change the settings or switch auto top-up off at any time under Plan & billing; switching it off takes effect immediately. Only a workspace owner or admin can switch it on, and we record who did so and when. If an automatic charge fails three times in a row we switch auto top-up off and email the owner. Automatic top-ups are subject to the same Refund & Cancellation Policy as any other purchase.
6. Your data
You keep all rights in the invoices and data you upload. You grant us the limited permission needed to process that data to provide the service (including sending it to our AI extraction provider). How we handle personal data is set out in our Privacy Notice. You're responsible for having a lawful basis to upload the invoices you process.
7. Our intellectual property
NoticeDesk (the software, its compliance logic, design and content) belongs to us. These terms don't give you any rights in it beyond the right to use the service as intended while your account is active.
8. Availability
We aim for continuous availability but don't guarantee it will be uninterrupted or error-free. We may change, suspend, or update features, and we perform maintenance from time to time. NoticeDesk is provided "as is" and "as available".
9. Liability
Nothing in these terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or fraud). Subject to that, and because NoticeDesk produces advisory output that you are told to review before you rely on it, we are not liable for indirect or consequential loss, for loss of profit, revenue, or data, or for any tax, penalty, or interest arising from your reliance on extracted data or compliance results that you did not review. Our total liability to you in any 12-month period is limited to the amount you paid us for the service in that period.
10. Suspension & termination
You can stop using NoticeDesk and cancel at any time (see the Refund & Cancellation Policy). We may suspend or close your account if you breach these terms, if required by law, or if continuing would put the service or others at risk. On termination your right to use the service ends; data handling on closure follows our Privacy Notice.
11. Changes to these terms
We may update these terms as the product and the law evolve. If a change is material, we'll update the date above and tell you in the app or by email. Continuing to use NoticeDesk after a change means you accept the updated terms.
12. Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction. Nothing here affects your statutory rights as a consumer where they apply.
